Abstract

Pasca berlakunya Undang-Undang Nomor 16 Tahun 2025 tentang Badan Usaha Milik Negara, timbul permasalahan hukum mengenai kedudukan Direksi dan Komisaris BUMN sebagai subjek hukum tindak pidana korupsi serta bentuk pertanggungjawaban pidana atas kerugian yang timbul dari pengelolaan kekayaan negara yang dipisahkan. Permasalahan tersebut semakin kompleks dengan dihapuskannya ketentuan Pasal 3X dan Pasal 9G dalam regulasi BUMN sebelumnya yang secara eksplisit menyatakan bahwa Direksi dan Komisaris BUMN bukan merupakan penyelenggara negara, sehingga menimbulkan perubahan paradigma hukum terkait status dan pertanggungjawaban Direksi dan Komisaris BUMN. Di sisi lain, ketentuan Pasal 4B Undang-Undang Nomor 16 Tahun 2025 yang menyatakan bahwa kerugian BUMN bukan merupakan kerugian negara menimbulkan ketidakjelasan dalam penerapan Pasal 2 dan Pasal 3 Undang-Undang No.20 Tahun 2001 tentang Pemberantasan Tindak Pidana Korupsi, khususnya terkait unsur kerugian keuangan negara. Penelitian ini bertujuan untuk menganalisis kedudukan Direksi dan Komisaris BUMN sebagai subjek hukum tindak pidana korupsi pasca berlakunya Undang-Undang Nomor 16 Tahun 2025 serta mengkaji pertanggungjawaban pidana Direksi dan Komisaris BUMN atas kerugian keuangan negara yang bersumber dari kekayaan negara yang dipisahkan. Metode penelitian yang digunakan adalah penelitian hukum normatif dengan pendekatan perundangundangan, konseptual, dan kasus, yang dianalisis secara preskriptif melalui penafsiran sistematis. Hasil penelitian menunjukkan bahwa Direksi dan Komisaris BUMN tetap merupakan subjek hukum tindak pidana korupsi sepanjang perbuatannya memenuhi unsur Pasal 2 dan Pasal 3 Undang-Undang Pemberantasan Tindak Pidana Korupsi. Selain itu, Direksi dan Komisaris BUMN dapat dipertanggungjawabkan secara pidana meskipun terdapat ketentuan Pasal 4B Undang-Undang Nomor 16 Tahun 2025, karena pemisahan kekayaan negara melalui Putusan Mahkama Konstitusi Nomor 48/PUU-XI/2013 dan 62/PUU-XI/2013 pada BUMN bersifat administratif bukan subtantif, sehingga tidak menghapus karakter keuangan negara.
