Abstract

Penelitian ini bertujuan untuk menganalisis konflik hukum antara Undang-Undang Nomor 40 Tahun 2007 tentang Perseroan Terbatas (UU PT) dan Undang-Undang Nomor 37 Tahun 2004 tentang Kepailitan dan Penundaan Kewajiban Pembayaran Utang (PKPU). Penelitian ini menjawab dua rumusan masalah utama: pertama, bagaimana perbedaan ketentuan dalam UU PT dan UU Kepailitan mempengaruhi prosedur likuidasi perusahaan yang mengalami kebangkrutan; kedua, bagaimana penyelesaian konflik hukum antara UU PT dan UU Kepailitan dapat memberikan perlindungan yang optimal bagi kreditur dan debitur dalam proses likuidasi perusahaan.Pendekatan yang digunakan dalam penelitian ini adalah normatif, dengan menganalisis peraturan-peraturan yang relevan serta literatur hukum terkait. Hasil penelitian menunjukkan bahwa terdapat perbedaan mendasar dalam ketentuan mengenai likuidasi perusahaan. UU PT mengatur likuidasi sebagai proses yang dilakukan oleh pemegang saham dan direksi, sementara UU Kepailitan memberikan wewenang kepada pengadilan untuk mengatur proses kepailitan dan likuidasi. Perbedaan ini dapat mempengaruhi kecepatan dan efisiensi proses likuidasi, serta hak-hak kreditur dalam mendapatkan pembayaran utang.Penyelesaian konflik hukum antara UU PT dan UU Kepailitan sangat penting untuk memberikan perlindungan yang optimal bagi kreditur dan debitur. Harmonisasi antara kedua undang-undang diperlukan agar proses likuidasi dapat berjalan dengan adil dan transparan. Rekomendasi dari penelitian ini mencakup perlunya revisi terhadap ketentuan yang saling bertentangan, serta peningkatan pemahaman dan kesadaran hukum di kalangan pelaku usaha mengenai hak dan kewajiban mereka dalam situasi kepailitan.Dengan demikian, penelitian ini diharapkan dapat memberikan kontribusi dalam pengembangan hukum perusahaan di Indonesia, serta menciptakan lingkungan usaha yang lebih kondusif dan berkeadilan bagi semua pihak yang terlibat
