Abstract

This research was carried out because there were contradictory norms and laws in force so that there was an interpretation of the meaning of the sale and purchase agreement and the power to sell which were created because of a debt that could not be repaid. And also to know and understand the strength of the sale and purchase agreement and the power to sell with the provisions of the deed which are in accordance with applicable legal regulations. The sale and purchase agreement and power of sale should be made as an initial or preliminary agreement on the basis of an agreement between the seller and the buyer. Because at that time it was not possible to sign a sale and purchase deed, so the sale and purchase agreement was created and the power of sale was used as a means of paying off the debt and receivables by transferring the transfer of the debtor's rights to the creditor. This also means knowing the legal protection for parties who are harmed by the existence of a deed of sale and purchase agreement and power of sale which is based on this debt and receivable. This research uses a normative research method, which uses a statutory approach and a conceptual approach and uses techniques for collecting secondary data materials in the form of primary legal materials, namely in the form of legal regulations and scientific journals as well as research by legal experts. From the results of this research, it is hoped that the sale and purchase agreement and power of sale made before a notary in accordance with legal construction taking into account Article 1320 of the Civil Code are valid so that they have perfect evidentiary power as a notarial deed. However, the debt and receivable agreement is the main agreement. On the other hand, if the sale and purchase agreement and power of sale are not purely based on a debt and receivables agreement, then the deed made before a notary is null and void.
