Abstract

This study examines the debtor’s legal actions deemed detrimental to the creditors' interests specifically focusing the primary issue analyzed is the judge’s ratio decidendi in annulling a trademark assignment agreement conducted while the debtor was under a Suspension of Debt Payment Obligation (PKPU), as well as the subsequent legal consequences for the parties involved. This research employs a normative legal method, utilizing statutory, conceptual, and case approaches. The findings indicate that the judge's ratio decidendi focused on the evidence that the trademark transfer— executed through a confirmatory deed and registered with the Directorate General of Intellectual Property (DGIP) during the PKPU period—constituted an action detrimental to the creditors' interests. The legal consequence of this annulment is the restoration of the trademark rights to the bankruptcy estate (boedel), to be managed by the receiver (kurator). Regarding Defendant II as the buyer, a change in legal status occurs from trademark owner to concurrent creditor, with uncertain debt recovery prospects. Meanwhile, the notary who drafted the confirmatory deed may be held liable by Defendant II for the losses incurred, and the DGIP is mandated to amend the trademark transfer records in accordance with the court's ruling.
