Abstract

The management of SOEs, which utilize state assets, frequently gives rise to legal issues concerning the accountability of the Board of Directors, the Board of Commissioners, and the Supervisory Board for business decisions that may result in state financial losses. The primary issue addressed in this research is the lack of clear boundaries between legitimate business risk and managerial actions that may be legally classified as unlawful, thereby creating the potential for the criminalization of corporate decision-making. This study aims to analyze the normative foundations of the legal accountability of the Board of Directors, the Board of Commissioners, and the Supervisory Board of SOEs, as well as to formulate clear limitations that ensure legal certainty for SOE management. The research employs a normative juridical method using statutory, conceptual, and case approaches. The findings indicate that the legal accountability of SOE organs encompasses civil liability based on fault, administrative liability arising from breaches of official duties, and criminal liability in cases involving abuse of authority or fraudulent conduct. This study concludes that the ambiguity in distinguishing managerial errors from criminal acts results in legal uncertainty; therefore, regulatory harmonization and the strengthened application of the Business Judgment Rule are necessary to provide legal protection for SOE management acting in good faith and with due care.
