Abstract

The amendment to Law Number 16 of 2025 concerning the Fourth Amendment to Law Number 19 of 2003 concerning State-Owned Enterprises raises legal questions regarding the application of Article 4B. Losses and profits of SOEs are no longer considered state losses and profits, raising questions about the impact on the implementation of criminal penalties for corruption. Using normative research methods through a legislative approach, a conceptual approach, and analysis through legal interpretation, norm harmonization, and legal discovery, the research results explain the rationale for Article 4B, which is to protect individuals who have not committed corruption or caused financial losses to the state. Article 4B was not created to protect criminals or SOE directors from implementing policies that harm the company's finances, but rather to protect officials or directors who have applied the Business Judgment Rule in managing business policymaking, but have incurred losses to the SOE. Furthermore, the implication of Article 4B is that it does not conflict with the Corruption Crimes Law but rather serves as a norm that filters out actions that cause losses to SOEs. Therefore, this amendment to the State-Owned Enterprises Law emphasizes that the state, as a shareholder, is only responsible for its shareholding and not for the losses of the business entity it invests in.
