Abstract

This study aims to analyze the compatibility of the partnership cooperation agreement between the application provider company Gojek and its driver partners in terms of validity, clause substance, and legal protection for partners based on the applicable laws and regulations. This is a normative legal research using statutory and conceptual approaches. Primary legal materials consist of the Indonesian Civil Code, the Law on Information and Electronic Transactions and its amendments, and the Regulation of the Minister of Transportation Number 12 of 2019 concerning the Protection of the Safety of Users of Motorcycles Used for the Interest of the Public. Secondary legal materials include books, scholarly articles, and other relevant writings on electronic contracts and application based motorcycle taxi services. Legal materials were collected through library research and analyzed qualitatively using deductive reasoning, as well as grammatical and systematic interpretation of the relevant norms. The research findings show that in terms of validity, the partnership agreement between Gojek and driver partners has fulfilled the legal requirements for an electronic contract as stipulated in the legislation. Substantively, the agreement only accommodates part of the provisions contained in the Regulation of the Minister of Transportation Number 12 of 2019, particularly regarding the mechanism for calculating service fees in accordance with statutory provisions and the regulation of dispute resolution. The legal protection provided to partners in the partnership agreement in practice remains limited to these two main aspects and has not fully reflected the entire protection standards mandated by sectoral regulations. These findings indicate that partners are positioned as independent business actors within a digital platform partnership relationship, so that strengthening the clauses on safety guarantees, transparency of partnership termination, protection against unilateral termination, and effective complaint mechanisms becomes an important agenda for policy makers in the online transportation sector.
