Abstract
The complicated and costly IPO requirements are an obstacle experienced by companies that want to list their shares on the stock exchange. Backdoor listing is an alternative that can be done by companies to list their shares on the stock exchange without going through the IPO process. Companies that do Backdoor listing have not fully complied with the provisions of the relevant laws and regulations which can lead to potential risks and challenges for the capital market. Referring to article 70 paragraph (1) of Law No.8/1995 which explains that only issuers who can conduct public offerings are issuers who have submitted a registration statement to the OJK and the registration statement has been effective. Meanwhile, companies that do Backdoor listing do not get an effective statement from OJK. The Backdoor listing process does not have a clear legal umbrella, so there is no standard reference for the procedures carried out, while the conventional IPO has a definite legal basis and is closely monitored by the OJK. This study aims to determine and explain the role of the OJK in regulating the implementation of Backdoor listing in Indonesia. Therefore, it is expected that OJK will make special regulations regarding the implementation of Backdoor listing considering that OJK is a capital market supervisory institution and has the authority to make regulations relating to activities in the capital market.
