Abstract

In Indonesia, economic and business development is progressing rapidly, so business actors are affected by this situation. The more rapid development will encourage higher competitiveness between business actors. In order to compete, business actors must increase their competitiveness by developing their businesses and creating new innovations to maintain their existence. In this context, Study Decision Number 34/KPPU-M/2020 becomes very relevant. This research not only explores the legal aspects related to the regulation of notification of share takeovers in limited liability companies or the reasons why judges give decisions but also highlights the importance of carefully following the regulations related to notification of share takeovers in limited liability companies and notifying the relevant authorities in accordance with applicable regulations. The type used in this research is normative legal research, and this research uses several approaches, namely the statutory approach and the case approach. The results of this research show that companies carrying out acquisitions are required to consult and provide notification to the Business Competition Supervisory Commission (KPPU) so that the acquisition process that has been carried out does not cause legal problems in the future. The implementation of the share takeover carried out by PT Dharma Satya Nusantara tbk on the shares of PT Karya Prima Agro Sejahtera was not proven to cause or result in monopolistic practices and/or unfair business competition, but it was still proven to violate Article 29 of Law Number 5 of 1999, Jo. Article 5 of PP Number 57 of 2010, and a fine of Rp. 1,200,000,000.00 (one billion two hundred million rupiah), which must be paid directly to the state treasury.
