Abstract
The rapid business expansion in the current digital era may support national development. During the process, the execution of national development requires considerable funds. One of the institutions that might help is the banking sector. Banks, as the backbone of a country economy, are expected to provide benefits and legal certainty for all members of society. Some businessmen are limited to funding. Therefore, they need help from banks as reliable financial institutions that can offer benefits and legal certainty to grant hitchless operations. The first encountered problem is the collateral urgency as a special warrantee in the banking environment. Then, the second problem occurs on the nature of collateral’s main characteristics as a special guarantee in the banking environment. This study applies normative legal research using some approaches: legislation (statute approach), concepts (conceptual approach) and philosophical (philosophical approach). This research is carried out by analyzing laws and regulations related to legal issues, as well as theories and concepts to disclose vague norms using hermeneutical interpretations to uncover the characteristics of collateral as special warranties in the banking setting. General warrantees emerge directly from law without prior agreement in contrast to special warrantees which must be agreed upon first. In this case, book II BW and book III BW are in synergy and cannot be separated. They are unique because the existence of article 1131 BW is regelend recht. Even though it is embedded in book II BW, it can still be deviated by the parties on the basis of a deal, namely by making a special warranty through a fixed warrantee agreement that allows book II BW and book III BW to integrate. The synergy of laws is based on article 1131 BW whereas the synergy of agreements is in accordance with article 1132 BW. The right of goods warranty in line with the nature of the properties has several characteristics, namely: absolute, Droit de suite, priority and preference.
