Abstract

BUMN merupakan perpanjangan tangan dari negara diharapkan mampu menggapai tujuan awalnya sebagai agen pembangunan. Namun, tujuan demikian sulit tercapai karena terlalu memakan biaya yang lumayan tinggi. Selain itu kinerja BUMN juga dianggap kurang memadai sehingga berdampak pada sedikitnya laba yang diperoleh yang dapat mengakibatkan kepailitan. Tujuan dari penelitian ini yaitu untuk mengetahui bagaimana pengaturan kepailitan BUMN dan kewenangan menteri keuangan dalam mengajukan permohonan pailit. Penelitian ini menggunakan metode yuridis normatif dengan pendekatan perundang-undangan, konseptual, dan kasus ini membahas mengenai pengaturan untuk mempailitkan suatu BUMN dalam Undang-Undang Nomor 37 Tahun 2004 tentang Kepailitan dan Penundaan Kewajiban Pembayaran Utang spesifiknya pada Pasal 2 ayat (5). Objek dalam penelitian ini adalah BUMN Persero PT. Merpati Nusantara Airlines. Hasil penelitian menunjukkan bahwa menteri keuangan hanya berwenang mengajukan permohonan pailit pada BUMN Perusahaan Umum selanjutnya disebut perum sebagaimana berdasarkan penjelasan Pasal 2 ayat (5) Undang-Undang Nomor 37 Tahun 2004 tentang Kepailitan dan Penundaan Kewajiban Pembayaran Utang bahwa pengajuan permohonan pailit terhadap BUMN yang bergerak di bidang kepentingan publik (seluruh modalnya dimiliki oleh negara dan tidak terbagi atas saham) hanya dapat diajukan oleh menteri keuangan. Dalam Undang-Undang Nomor 19 Tahun 2003 tentang Badan Usaha Milik Negara, perum didefinisikan sebagai BUMN yang seluruh modalnya dimiliki negara dan tidak terbagi atas saham. Berbeda dengan persero yang modalnya terbagi dalam saham yang seluruh atau paling sedikit 51% sahamnya dimiliki oleh negara. Putusan Pengadilan Niaga Nomor: 04/Pdt.Sus-Pailit/2016/PN Niaga. Jkt.Pst dan Putusan Mahkamah Agung Nomor: 447 K/pdt.sus-pailit/2016 menolak permohonan kasasi Sudiyarto dan Jafar Tambunan. Pertimbangan hakim menolak permohonan kasasi karena pemohon bukan yang berhak atau tidak memiliki kedudukan hukum untuk mengajukan permohonan pailit. Menurut hakim, yang dapat mengajukan permohonan pailit hanya menteri keuangan.
