Abstract

The Foundation Law in force in Indonesia has stated the position of the Foundation as a legal entity. The consequence of the existing legal entity status in the Foundation is that the Foundation has rights and obligations like humans. Regulations regarding Foundations at this time do not regulate the existence of sanctions for the negligence of the Foundation in submitting financial reports and do not regulate the existence of institutions that carry out preventive supervision of the Foundation. The absence of this arrangement is contradictory to the constitutional mandate which stipulates that everyone has the right to recognition, guarantees, protection, and fair legal certainty and equal treatment before the law. This research will analyze the urgency of restructuring the Foundation's arrangement as a non-profit legal entity and the concept of regulating the status of a legal entity in a foundation based on the value of legal certainty. This research is a normative legal research using statute approach, conceptual approach, historical approach, philosophical approach and comparative approach. The results of the research conclude that the Reconstruction of the Foundation as a legal entity is absolutely necessary to maintain the dignity of the Foundation as a non-profit social institution whose existence is expected to be able to prosper the community. Reconstruction of the regulations governing Foundations is aimed at increasing public trust in Foundations so that people are convinced to participate in Foundation programs. Reconstruction of Foundation arrangements based on the value of Legal Certainty includes: a) Management Reconstruction, namely by imposing obligations on the management and other organs to manage the Foundation in a professional and good manner; b) Transparency and Accountability Reconstruction, namely by imposing an obligation on Foundations to submit Annual Reports and imposing sanctions on Foundations if these obligations are not fulfilled; and c) Supervision Reconstruction, namely by establishing an external Supervisory Agency under the Ministry of Law and Human Rights Keywords: Foundation, Reconstruction, Supervision
